Preamble

This End User License Agreement (“EULA”) governs the use of the Software-as-a-Service platform “PAULY” (“Software”), provided by Pauly Predictions GmbH (“Provider”, “we”). The Software comprises AI-powered tools for the calculation and prediction of physicochemical properties of chemicals and their behavior in the environment.

By registering for, accessing, or using the Software, you (“User”, “you”) agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, you are not permitted to use the Software.

Section 1 – Subject Matter

(1) This EULA governs the time-limited, non-exclusive grant of access and usage rights to the Software “PAULY”, a web-based SaaS platform providing computational and AI-based toolboxes for risk assessment, analytical chemistry, migration modelling, LSER compound descriptors, as well as basic molecular properties.

(2) The Software is provided as Software-as-a-Service (“SaaS”). The User accesses the Software via the internet using a web browser. Local installation is not required unless a stand-alone version has been expressly agreed upon.

(3) The functional scope of the Software is determined by the selected license model (toolbox configuration). The Provider reserves the right to further develop and modify the functional scope, provided that the contractually agreed core functionality is not materially restricted.

Section 2 – Usage Rights and Restrictions

(1) The Provider grants the User a simple, non-transferable, revocable right to use the Software in accordance with this EULA and the applicable license model.

(2) The User is not permitted to:

(3) Usage is limited to the number of authorized users specified in the User’s account. Access credentials must not be shared with third parties. The Provider is entitled to monitor the contractual use of the Software through automated system-based measures (e.g. checking simultaneous logins) to prevent the unauthorized sharing of access credentials.

(4) Export Control & Dual-Use: The User undertakes to strictly comply with all applicable national and international export control and sanctions regulations when using the Software and the generated results. Use of the platform and its results for legally prohibited purposes, in particular in connection with dual-use goods, military, or defense-related developments, is expressly prohibited.

(5) Data Backup: The User is responsible for regularly backing up the data entered into the Software and the exported calculation results. The Provider is not liable for data loss that could have been avoided by a proper backup by the User.

Section 3 – Intellectual Property

(1) All rights to the Software, including all underlying algorithms, AI models, databases, user interfaces, documentation, and trademarks, remain exclusively with the Provider or its licensors.

(2) Calculation results generated by the Software (“Output”) may be used by the User for their own purposes. Copyright in the underlying models and algorithms remains with the Provider.

(3) This EULA does not transfer any ownership of the Software to the User. Only a right of use in accordance with this Agreement is granted.

Section 4 – Citation Requirement for Scientific Publications

(1) The User undertakes to appropriately cite the Software “PAULY” as a source in every scientific publication that is based, in whole or in part, on calculations, predictions, data, or results generated by the Software. This obligation applies to all forms of scientific publications, including but not limited to:

(2) Unless the Provider specifies an updated citation format, the citation shall be as follows:

N. Ulrich, A. Anders, K. Voigt, PAULY V. 1.0.5, August 2026, web-based version: app.pauly-predictions.de

(3) In addition, the software version and the toolboxes used must be stated in the methods section (“Materials and Methods” or equivalent section). Example:

“[Data] were calculated using the software PAULY (Version X.X, Toolbox: [Name], Pauly Predictions GmbH).”

(4) Should the Provider publish a citable scientific paper on PAULY at a later date, this will be announced as the preferred citation source on the website (https://i-am-pauly.com) and within the Software. From that point onwards, the updated citation format shall be used.

(5) The User is obliged to provide the Provider with evidence of correct citation upon request. In the event of repeated or intentional violation of the citation obligation, the Provider reserves the right to restrict or terminate access to the Software.

(6) The citation obligation applies regardless of whether the Software is used under a free trial, an academic license, or a commercial license.

Section 5 – Use of Results for Commercial Purposes

(1) The use of calculation results from the Software for internal commercial purposes (e.g. product development, regulatory submissions, internal risk assessments) is permitted within the scope of the respective license model.

(2) The disclosure of calculation results to third parties for commercial purposes requires the prior written consent of the Provider, unless the selected license model expressly permits this.

(3) The results of the Software must not be used to create competing products or services.

Section 6 – Availability and Service Level

(1) The Provider shall endeavor to ensure an availability of the Software of 99.5% on an annual average, measured against total time less scheduled maintenance windows.

(2) Scheduled maintenance will be communicated to the User at least 48 hours in advance by email or within the Software.

(3) The Provider shall not be liable for temporary unavailability due to force majeure, disruptions at third-party providers (e.g. hosting providers, internet service providers), or necessary emergency maintenance.

Section 7 – Data Protection and Data Processing

(1) The Provider processes personal data of the User exclusively in accordance with the General Data Protection Regulation (GDPR) and applicable German data protection law. Further information can be found in the Privacy Policy at https://i-am-pauly.com/en/privacy/.

(2) Data entered by the User into the Software (e.g. chemical structures, calculation parameters) will be processed solely for the purpose of providing the contractually agreed services and will not be disclosed to third parties without the User’s express consent.

(3) The Provider reserves the right to use anonymized and aggregated usage data for statistical analysis and the further development of the Software, provided that identification of individual Users is excluded.

(4) Where the Provider acts as a data processor within the meaning of Art. 28 GDPR, a separate data processing agreement (DPA) shall be concluded.

Section 8 – Warranty and Limitation of Liability

(1) The Software is provided “as is”. The Provider warrants that the Software substantially conforms to the functions described in the relevant documentation.

(2) AI-based predictions and calculations of the Software constitute model-based estimates and may deviate from actual measured values. The Provider does not warrant the accuracy, completeness, or fitness of the calculation results for any particular purpose.

(3) Plausibility Check: The User is obliged to subject the predictions and calculations generated by the Software to a professional plausibility check by qualified personnel prior to their practical application in research, development, or production processes. The User bears sole responsibility for decisions made on the basis of results generated by the Software (in particular for regulatory submissions and risk assessments).

(4) The Provider’s liability is limited as follows:

(5) The Provider’s total liability towards the User is – to the extent permitted by law – limited to the amount of license fees paid by the User in the twelve (12) months preceding the event giving rise to the damage.

Section 9 – Term and Termination

(1) This EULA becomes effective upon the User’s registration and remains in effect for the duration of the respective license agreement.

(2) The Provider may terminate this EULA and access to the Software with immediate effect if the User materially breaches provisions of this EULA, in particular Sections 2, 3, or 4.

(3) Upon termination of this EULA, the User is obliged to cease use of the Software immediately. A right to data export exists for a period of 30 days after the end of the contract, provided the User requests this in a timely manner.

(4) The provisions of Sections 3 (Intellectual Property), 4 (Citation Requirement), 8 (Limitation of Liability), and 11 (Confidentiality) shall survive the termination of this EULA.

Section 10 – Fees and Payment

(1) The amount of license fees is determined by the selected license model and the number of toolboxes. Current prices are communicated on the Provider’s website or in individual quotations.

(2) Invoices are payable within 30 days of the invoice date without deduction, unless otherwise agreed.

(3) The Provider reserves the right to temporarily suspend access to the Software in the event of a payment default exceeding 14 days after a formal reminder.

Section 11 – Confidentiality

(1) Both parties undertake to treat all confidential information of the respective other party obtained in connection with this EULA as strictly confidential and not to disclose it to third parties.

(2) Confidential information includes in particular: trade secrets, technical information, price lists, customer data, calculation results, as well as the underlying algorithms and models.

(3) This confidentiality obligation does not apply to information that is or becomes publicly known (through no fault of the receiving party), that was already known to the receiving party prior to disclosure, or that must be disclosed due to a legal or regulatory order.

Section 12 – Amendments to this EULA

(1) The Provider reserves the right to amend this EULA with reasonable prior notice of at least 30 days. Amendments will be communicated to the User by email or within the Software.

(2) If the User does not object to the amendment within 30 days of receiving the notification, the amended EULA shall be deemed accepted. This legal consequence will be specifically indicated in the amendment notification.

(3) In the event of an objection, both parties shall have a special right of termination effective as of the date the amendment would take effect.

Section 13 – Final Provisions

(1) This EULA shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

(2) The exclusive place of jurisdiction for all disputes arising out of or in connection with this EULA shall be – to the extent permitted by law – Leipzig.

(3) Should any provision of this EULA be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected (severability clause). The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the economic purpose of the invalid provision.

(4) Ancillary agreements, amendments, and supplements to this EULA must be made in writing. This also applies to the waiver of this written form requirement.

(5) This EULA constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written agreements.

By registering for and using the Software “PAULY”, the User confirms that they have read and understood this EULA and agree to be bound by its terms.

Right of Withdrawal / Cancellation Policy (Applicable to Consumers pursuant to Section 13 BGB)

Right of Withdrawal You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the date of conclusion of the contract.

To exercise your right of withdrawal, you must inform us (Pauly Predictions GmbH, [Insert full address], [Insert email address]) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an email). To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Consequences of Withdrawal If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

Premature Expiry of the Right of Withdrawal The right of withdrawal expires prematurely in the case of a contract for the supply of digital content not supplied on a tangible medium if we have begun performance of the contract after you have expressly consented to us beginning performance before the expiry of the withdrawal period, and you have acknowledged that by your consent you lose your right of withdrawal upon the start of the execution of the contract.
